Terms of Purchase of Avalon Green Consultancy Ltd.
Introduction
These Terms of Purchase ("Terms") govern the purchase of services from Avalon Green Consultancy Ltd. ("we," "us," or "our"). By purchasing our services, you ("Customer" or "you") agree to be bound by these Terms. Please read these Terms carefully before making a purchase. If you do not agree to these Terms, please do not purchase our services.
1. Services Offered
Avalon Green Consultancy Ltd. offers a range of consultancy services, including but not limited to:
- Out of House Sustainability Team services
- Carbon Compliance consultation
- Business Consultation
- Carbon Footprint Analysis
- Project Management
- Sustainable Procurement
2. Pricing and Payment
Pricing: All prices for services are provided upon request and are subject to change without notice. Prices quoted are in GBP and are exclusive of VAT unless otherwise stated.
Payment Terms: Payment for services is due upon receipt of invoice unless otherwise agreed in writing. We accept payment by bank transfer or other methods as specified on the invoice.
Late Payments: Late payments may incur interest at a rate of 2% per month, or the highest rate allowed by law, whichever is lower, on the outstanding balance until paid in full.
3. Order Process
Quotation: A detailed quotation will be provided based on the specific requirements of the Customer.
Acceptance: The Customer must accept the quotation in writing to initiate the service. Acceptance can be via email or signed agreement.
Confirmation: Once the acceptance is received, we will confirm the order and provide an estimated timeline for the delivery of services.
4. Delivery of Services
Timelines: We will use reasonable efforts to meet any timelines agreed upon but are not liable for any delays caused by factors beyond our control.
Modifications: Any changes to the scope of services must be agreed upon in writing by both parties. Additional charges may apply for any modifications.
5. Cancellations and Refunds
Cancellations: The Customer may cancel the order by providing written notice. Cancellations made within 7 days of the service commencement date may incur a cancellation fee.
Refunds: Refunds are provided at our discretion. If a refund is granted, it will be processed within 30 days of the cancellation notice.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the provision of services. This obligation shall survive the termination of these Terms.
7. Intellectual Property
All intellectual property rights in the materials and methodologies used or developed by us in the course of providing the services shall remain our property. The Customer is granted a non-exclusive, non-transferable license to use the deliverables for its internal purposes only.
8. Limitation of Liability
To the fullest extent permitted by law, Avalon Green Consultancy Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the purchase of services, including but not limited to loss of profits, data, or goodwill.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
